Requirements

ARTICLE V – OFFICERS AND DIRECTORS

    SECTION 5.1 – OFFICERS

The Officers of the Group shall consist of:  President, Vice President, Secretary, and Treasurer.  Only FULL members shall be eligible to serve as an Officer of the Group.

SECTION 5.2 – BOARD OF DIRECTORS

The Board shall consist of the four Officers and a minimum of five Members-at-Large. Only FULL members of the Group shall be eligible to serve as a Member of the Board of Directors. The Board of Directors shall plan and execute all duties prescribed by these Bylaws, by policies and procedures of the Group, and by parliamentary authority adopted by this Group, as shall be directed by the Board of Directors so as to fulfill the objectives prescribed by the Board.  The Board will also oversee and monitor regulatory issues relative to the operation to comply with FCC rules and regulations and Seminole County Department of Public Safety Policy. The County Emergency Manager is the designated liaison for the County and is a non-voting ex officio member of the board. During Board meetings a minimum of five voting board members constitute a quorum for the purpose of  conducting business.

SECTION 5.3 – LENGTH OF TERM

The Officers and Board members will have different terms of office. 

    SUBSECTION 5.3 (a) -- OFFICERS  

The Officers shall be elected by the membership for two-year terms. Officers may

serve for a maximum of two consecutive terms.  Official duties as an Officer will commence on the first day of the fiscal year. After the initial election the President and Secretary will be elected on even years and the Vice President and Treasurer on odd years.  The terms of the initial group of officers shall be adjusted as necessary to meet the prescribed election cycle.               

SUBSECTION 5.3 (b) -- BOARD OF DIRECTORS

    The At-Large Board of Directors shall be elected by the membership for three-

year terms.  Board members may serve for a maximum of two consecutive terms.  

Their official duties as a board member will commence on the first day of the

fiscal year.
